These Terms of Service ("Terms") govern your access to and use of the products, services, and website provided by Kinetropic MCHJ XK ("Kinetropic," "Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using the Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with these Terms and all applicable laws and regulations.

2. Description of Services

Kinetropic provides SaaS products, including CramMe, an AI-powered study and quiz generation tool (collectively, "Services"). The specific features and functionality available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. User Accounts

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Maintain and promptly update your account information
Keep your login credentials confidential and not share them with third parties
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a security risk.

4. Acceptable Use Policy

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party rights
Transmit any malware, viruses, or malicious code
Attempt to gain unauthorized access to our systems or other users' accounts
Conduct denial-of-service attacks or attempt to disrupt the Services
Scrape, crawl, or extract data from the Services in an unauthorized manner
Resell or sublicense the Services without our written authorization
Use the Services to generate, distribute, or facilitate spam
Upload content that is illegal, harmful, or infringes on third-party intellectual property rights

5. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as stated in our 30-day money-back guarantee for new subscribers, or as required by applicable law. We reserve the right to change pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Accounts with overdue balances may be suspended after 10 days' written notice and terminated after 30 days of non-payment.

6. Intellectual Property

The Services and all content, features, and functionality — including software, text, graphics, logos, and trademarks — are owned by Kinetropic or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our express written permission.

You retain ownership of any content you submit or upload to the Services ("Customer Data"). By submitting Customer Data, you grant Kinetropic a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide the Services.

7. Confidentiality

Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care), and not to disclose such information to third parties except as permitted under these Terms or with the disclosing party's prior written consent. This obligation survives termination of these Terms for a period of three (3) years.

8. Warranties and Disclaimers

We provide the Services on an "as is" and "as available" basis. While we strive for high availability and performance, we do not warrant that the Services will be uninterrupted, error-free, or completely secure. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINETROPIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINETROPIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL KINETROPIC'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KINETROPIC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Kinetropic, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Services. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms. Upon termination, your right to access the Services ceases immediately. We will provide you with a reasonable opportunity to export your Customer Data for 30 days following termination, after which we may delete it.

12. Governing Law

These Terms are governed by applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, disputes shall be submitted to the competent courts of the jurisdiction where Kinetropic MCHJ XK is registered.

13. Dispute Resolution

Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party. If a dispute is not resolved within 30 days, either party may pursue formal legal action. For disputes involving amounts less than $10,000, either party may elect to resolve the dispute through binding non-appearance-based arbitration, conducted by the American Arbitration Association under its Commercial Arbitration Rules.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice within the Services. Your continued use of the Services after the effective date of any change constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
